1. About these terms
These Referral and Offer Terms (“Offer Terms”) are part of the agreement between your business and Tuppence AI Ltd, which operates Tuppence (“Tuppence”, “we”, “us”, “our”), under our Terms of Service. They apply whenever your business receives fee-free processing, accepts a code, or shares its referral code. Words defined in the Terms of Service have the same meaning here. If these Offer Terms conflict with the Terms of Service about an offer or a code, these Offer Terms apply.
Resellers in the Tuppence Partner Programme are also bound by our Partner Programme Terms.
Fee-free processing, codes and referral rewards are promotional benefits that we offer at our discretion, as these Offer Terms describe. They are not a right to be paid anything.
2. Fee-free processing
2.1 What it is
Fee-free processing is an amount of card transaction value on which we do not charge our processing fee. For example, “£1,000 of fee-free processing” means that we do not charge our processing fee on the next £1,000 of live card transactions your business takes. It is not money, has no cash value, cannot be paid out, transferred, exchanged or sold, and is not a balance held for you.
2.2 What it covers
- It covers our processing fee on live card transactions, including any surcharges (such as for American Express, commercial cards or cards issued abroad), whatever product the transaction is taken through.
- It does not cover dispute fees, instant payout fees, card issuing fees, risk management fees, card network fines, or any fee charged by a Platform you use through Tuppence Connect.
- It applies only to transactions in the currency in which it was given, and never to test transactions.
2.3 How it is used
Fee-free processing is used automatically, in the order it expires, as your live card transactions are made. If a transaction is larger than the fee-free processing you have left, the fee is charged only on the part that is not covered, in proportion to the transaction. Your dashboard shows how much you have left, where it came from and when it expires, and each transaction shows the fee that was waived.
Fee-free processing is used when a transaction succeeds. If a transaction is declined or canceled, nothing is used. If you capture less than you authorized, only the amount captured is used.
2.4 Refunds and disputes
Fee-free processing used on a transaction is not restored if you later refund the transaction or it is disputed, in the same way as our processing fee is not returned on a refund (Terms of Service, section 7.5).
2.5 Expiry
Unless we tell you otherwise when we give it, fee-free processing expires twelve months after it is added to your account. Anything left when it expires is lost. We aim to remind you before it expires, but it expires whether or not we do.
2.6 Platforms and connected accounts
Fee-free processing given to a Platform is used on the Platform’s own transactions and on transactions of its Connected Accounts for which the Platform pays our fee. It is not used on transactions of Connected Accounts that pay our fee themselves. Connected Accounts do not receive fee-free processing from codes.
2.7 Fee-free processing from Tuppence
We may add fee-free processing to your account at any time, for example as part of a campaign or as a goodwill gesture. It is shown in your dashboard as from “Tuppence”, and these Offer Terms apply to it unless we tell you otherwise.
3. Codes
3.1 Kinds of code
A code may be a referral code belonging to another Tuppence business, a partner code belonging to a reseller in our Partner Programme, or a promotional code issued by us. Each code shows the offer it carries and who it is from before you accept it.
3.2 One code per account
Each Tuppence account may accept one code, ever, of any kind. Codes cannot be combined, and an accepted code cannot be swapped for another.
3.3 When you can accept a code
You can enter a code when you create your account, or redeem it in your dashboard within 60 days of creating your account, provided your account has not yet taken £2,000 of live card transactions. After that, a code can be applied only by us, at our discretion.
3.4 Codes you cannot accept
- your own code, or the code of an account that shares an owner, director or user with yours;
- any code, if your account is a Connected Account; or
- a promotional code outside its stated dates, or after it has reached its limit of uses.
3.5 Who sees what
When you accept a code, the business, partner or campaign it came from is recorded on your account and shown to you. If you accept a referral or partner code, the owner of the code can see your business’s name, when you joined, whether you are live and, for a referral, whether the referral has qualified. They cannot see your transactions or any other details of your business.
4. Referring a business
4.1 Who can refer
Every Tuppence business account that is not a Connected Account or a Partner Account has a referral code. You can share it with as many businesses as you like.
4.2 What the business you refer gets
A business that accepts your referral code receives £1,000 of fee-free processing as soon as it accepts the code.
4.3 What you get
You receive £1,000 of fee-free processing when the business you referred qualifies. It qualifies when, within twelve months of accepting your code:
- it has taken £2,000 of live card transactions, after deducting refunds and disputes it lost, in the currency of the offer;
- those transactions were made with at least three different payment cards;
- we have reviewed and approved its account for payouts, and it is not under a hold or closed; and
- it is not linked to your business. We treat businesses as linked if they share owners, directors, users, bank accounts, devices, sign-in locations or customers’ cards, or if we otherwise reasonably believe they are under common control.
We normally check every day and aim to add your reward the morning after the business qualifies. If it has not qualified within twelve months, the referral expires and no reward is given. Your reward does not depend on any other reward and there is no limit on how many you can earn.
4.4 Your referrals
Your dashboard and app list the businesses that accepted your code, by business name, with the date they joined and whether each has gone live, qualified, expired or is not eligible. We do not tell you why a referral is not eligible, as that may reveal details of another business.
5. Sharing your code
When you share your referral code you must:
- describe the offer accurately, as set out in these Offer Terms;
- share it only with people who are likely to welcome it, and comply with the law on marketing: you must not send unsolicited marketing emails or messages, or post your code where it is not allowed;
- not pay for search adverts that use “Tuppence” or similar terms, or present yourself as Tuppence; and
- not offer anyone cash or other incentives to use your code.
You are sharing your own code as a Tuppence customer, not as our agent or representative, and you have no authority to make any promise on our behalf.
6. Misuse
If we suspect that a code, a referral or fee-free processing has been obtained or used through fraud, false information, transactions that are not genuine sales, accounts opened to collect rewards, linked accounts, or any breach of these Offer Terms or our Terms of Service, we may, at our discretion and without notice: refuse, cancel or reverse the referral or the reward; remove unused fee-free processing from any account involved; disable a code; and take any other step available to us under our Terms of Service. We may also charge, and recover under section 9 of our Terms of Service, the processing fees that were waived on the transactions concerned. We do not have to explain our decision.
7. Changes and ending
We may change, suspend or end the referral programme, any offer, a promotional code or these Offer Terms at any time, with or without notice, by updating this page. A change or ending will not remove fee-free processing already added to your account, unless section 6 applies, your account closes or the law requires it. A referral that has not qualified when the programme ends, or when a change takes effect, earns a reward only under the terms that apply after the change, unless we tell you otherwise. For a code accepted before 8 October 2026, the reward for that referral is decided under the terms that applied when the code was accepted. If your account is closed, any fee-free processing left on it is lost.
8. Our discretion and liability
Our records decide whether a code was accepted, whether a referral has qualified and how much fee-free processing you have. Codes and referrals are recorded automatically, and we do not promise that every one will be; if you think one was missed, tell us within 60 days and we will decide at our discretion whether to correct it.
To the fullest extent the law allows, we are not liable for any reward, fee-free processing or benefit that you did not receive, that expired, or that we refused, withheld, removed or reclaimed under these Offer Terms, or for any loss caused by a change to or the end of the programme. If we make a mistake with a reward or with fee-free processing, our only obligation is to correct it by adding the fee-free processing that should have been added. Otherwise, sections 17, 18 and 21 of our Terms of Service, including the cap on our liability, apply to these Offer Terms.
9. General
The disclaimers, limits on liability, indemnity, claims, general, governing law, disputes and contact terms in our Terms of Service (sections 17 to 24) apply to these Offer Terms. Questions about referrals and offers can be sent to support@tuppence.ai.
